SaaS Expense Management Application

1. Purpose and Scope

These General Terms and Conditions of Sale (hereinafter the “GTC”) are intended to define the conditions under which Softeos (hereinafter the “Service Provider”) makes available to its professional clients (hereinafter the “Client”) a web-based expense management application (Hivespent) accessible in SaaS mode (hereinafter the “Service”).

The GTC apply exclusively to professional clients within the meaning of French law.
Any use of the Service implies unconditional acceptance of these GTC.

2. Description of the Service

The Service allows the Client’s users to:

The Service has no accounting, tax, or legal value and does not constitute advisory services or a compliance control tool.

3. Access to the Service and Account Creation

Access to the Service requires the creation of an account.

The Client is responsible for:

The Service Provider cannot be held liable for any fraudulent or unauthorized use of the Client’s account.

4. Users

Each user acts in the name and on behalf of the Client.

Any action performed from a user account is deemed to have been performed by the Client.

5. Expense Report Management

The Service Provider does not intervene in any way in:

Decisions to approve or reject expense reports fall exclusively within the Client’s organization.
The Service Provider cannot be held liable for internal disputes, errors, rejections, delays, or financial consequences related to expense reports.

6. Financial Terms

6.1 Freemium Model

The Service is offered under a freemium model, with free features and paid features available through a subscription.

6.2 Subscription and Billing

The Service is offered under two subscription plans:

Billing is carried out monthly, at the end of the month, based on the number of users with active access to the Service on the last day of the relevant month.

Any user who has left the organization or whose access has been removed before the end of the month will not be included in billing for that month.

The annual commitment cannot be terminated before its term, except where otherwise provided by law.

6.3 Payment

Payment is made via the payment service provider Stripe.
The Client accepts Stripe’s general terms and conditions.

Any failure to pay authorizes the Service Provider to suspend access to the Service without prior notice.

6.4 Disputes

Any invoice dispute must be submitted in writing within fifteen (15) days of its issuance.
After this period, the invoice is deemed accepted.

No refunds will be issued, including in the event of early termination.

The Service Provider remains the owner of all intellectual property rights relating to the Service, the software, the interface, and the documentation.

Data entered by the Client remains the property of the Client.
No transfer of rights is granted under these GTC.

9. Personal Data

In the context of using the Service, the Service Provider processes personal data on behalf of the Client.

The conditions governing the processing of personal data are defined in the General Terms of Use (GTU) available on the Service Provider’s website.

The Service Provider is subject to an obligation of means.

Its liability cannot be engaged in the event of:

In any event, the Service Provider’s liability is limited to the amount excluding taxes paid by the Client during the twelve (12) months preceding the event giving rise to liability.

The Service Provider reserves the right to suspend or terminate access to the Service in the event of:

12. Changes to the Service and the GTC

The Service Provider reserves the right to modify the Service and these GTC.

The new GTC will apply after notification to the Client.

13. Governing Law and Jurisdiction

Any dispute relating to their interpretation or performance falls within the exclusive jurisdiction of the courts having jurisdiction over the registered office of the Service Provider.
